BY-LAWS OF

MEMPHIS TOUR RIDERS

 

The purpose for which the Corporation is organized is to be a social club, to pursue and encourage a safe and effectual manner of group riding that will enhance the image of the motorcycle riders; to promote good public relations through their general behaviors, club activities and community affairs; to promote cooperative coexistence between other motorcycle clubs and organizations; to promote dialogue among members of matters pertaining to motorcycles; and in general, to abide by all local, state and federal laws.

 

ARTICLE 1

The name of the Corporation is Memphis Tour Riders, herein referred to as the club.

 

ARTICLE 2

The officers of the Memphis Tour Riders shall be a President, Vice President, Secretary, Treasurer, and Road Commander. These officers shall constitute the Executive Board.

 

ARTICLE 3

The duties of the President shall be:

1. To preside at all meetings of the club.

2. To have general supervision of the affairs of the club.

3. To appoint any person or committee not otherwise ordered by the club.

4. To personally represent the club on proper occasions and in business contacts.        

5. To assist all other officers of the club in their records, correspondence and other duties.

6. To promote interest on the part of each member in the club life and activities.

7. To vote only when necessary to break a tie.

 

ARTICLE 4 

The duties of the Vice President shall be:

1. To perform the duties of the president in his absence.

2. To perform other duties as assigned by the President.

3. To be chairperson of a three-member Charity committee.

4. To succeed to the Presidency if the President is unable to perform his /her duties.

 

ARTICLE 5 

The duties of the Secretary shall be:

1. To keep a record of the meetings of the club.

2. To send out notices of regular or special meetings.

3. To handle all club correspondence.

4. To perform such other duties as generally fall to that office.

 

ARTICLE 6

The duties of the Treasurer shall be:  

1. To collect dues from all members.

2. To collect other money due the club.

3. To maintain a list of all active members.

4. To maintain club financial records and deliver reports on a timely basis.

 

ARTICLE 7

The duties of the Road Commander shall be:

1. To plan all club tours, runs, events or activities, etc.

2. To lead the club in formation riding or parades.

3. To stimulate interest in activities.

4. To assist in handling club socials, parties and other functions.

5. To enforce all rules of club riding.

6. To appoint assistants deemed necessary.

 

ARTICLE 8 

The duties of the Executive Board shall be:

1. To act for the club in all matters ordered by the club.

2. To make final decisions on member expulsions.

3. To properly investigate and present to the club all business or important activity situations.

4. To have general control over all club affairs.    

ARTICLE 9

The elective offices shall be filled with an annual election. Nominations to be made at the regular October meeting and the election to be held during the regular November meeting with the officer’s term effective office January 1. All officers shall hold office for one year, or until there successors are elected.

 

ARTICLE 10

The regular meetings of the club shall be held monthly but the President or Executive Board may call a special meeting at any time by advance notice.

 

ARTICLE 11

A majority of the Club Officers and a simple majority of active members present for regular meetings shall constitute a quorum for transaction of Club business.

 

ARTICLE 12

The bylaws may be amended or added providing the proposed amendment is submitted in writing at a regular club meeting.  The amendment will be voted on after a notice is published and circulated electronically or in the newsletter. This will allow members not present at the last meeting the chance to be informed of the issue and be present to vote at the next meeting. A two-thirds vote of all active members in good standing shall be required to pass an amendment. Proxies are not allowable but absentee ballots will be a permitted.

 

ARTICLE 13

GENERAL PROVISIONS 

1.          Roberts Rules of Order govern the parliamentary proceeding of this Club unless otherwise provided by these Bylaws. The order of business shall be:

a.    Members/visitors sign attendance book

b.      Review minutes of previous meeting as published in newsletter

c.       Unfinished business

d.      Report of Officers

e.      New business

 

2.         The activities committee shall be made up of three (3) members, with the

Road Commander acting as Chairman shall have general charge of all    tours, runs, events, activities and Club social functions subject to such orders as the Club may give. The President may appoint other Committees as necessary 

3.        All bills must be reviewed and approved by the Executive Board before they          are paid. The Treasurer and an additional officer should sign all checks.    Receipts must accompany any transactions in cash.

           4.          The Club annual dues shall be $24.00 payable the first meeting in April. Any member two (2) months or more behind in dues shall be considered not in good standing and shall not be entitled to vote. Any member more than six (6) months behind in dues may be expelled from the Club by two-thirds vote of those present at any meeting.

            5.         Officer nominations for Club Officers must be proposed in advance of elections and published in the newsletter. Only members in good standing can make nominations. All elected officers shall hold office for one (1) year or until there successors are elected.

           6.          All voting during Club general elections will be by secret ballot, by members in good standing, one (1) vote per applicant, one (1) vote per co-applicant. Proxy votes will not be allowed. Absentee ballots may be requested in advance, completed and mailed or electronically received by the Club Secretary 48 hours prior to the election meeting. All ballots will be verified by the Secretary to preserve anonymity of the vote. The activities committee shall oversee the elections and report to the Executive Board.
